Corporate Law

Pellerano & Herrera counsels clients in all aspects of routine and complex corporate matters, particularly with respect to business formation issues, incorporation and day-to-day legal and regulatory issues affecting their businesses. The firm's lawyers concentrate in acquisitions, alliances and joint ventures. The firm's international contacts allow it to incorporate companies anywhere in the world as well as offer clients the possibility of acquiring a previously incorporated shelf company.

Whenever necessary, we advise clients on modifying their corporate structure to become more efficient and adaptable to the new challenges of a changing world. In addition, the firm assists importers of goods and other products in negotiating, implementing, contracting and terminating international commercial agreements, including dealerships, agencies and commission agreements. In addition, corporate clients have access to the expertise of the firm in its many areas of practice, including intellectual property, tax, litigation, employment law, and real estate. These comprehensive resources allow us to deliver efficient, value-added and coordinated service.

Mergers and Acquisitions

Frequently, these deals are among the most significant ventures a company will undertake in its history. Our M&A team has the experience, legal depth and professional skills to work with all the parties involved during the different stages of the process towards the successful completion of these transactions.

Pellerano & Herrera represents buyers, sellers, target companies and investment advisers in virtually every transaction related to mergers and acquisitions, including negotiated stock purchases, asset purchases, and tender offers, among others. The firm has recently advised acquiring companies in telecommunications, retailing, meat processing, package delivery, hospitality and food manufacturing, to name a few. Our lawyers also arranged the mergers of local companies in the food manufacturing, hospitality, cement manufacturing and insurance industries, among others.

Privatization of Public Enterprises and Public Biddings

In recent years the Dominican Republic has experienced substantially changes in its legal framework. One of the most relevant legislative initiatives was the Law for the Reform of the Public Enterprise, also known as the Privatization Law, which has allowed the State to privatize a large number of public entities through the implementation of different models. The firm has represented international companies during the public biddings held for the privatization of State-owned companies in the following industries: mining, sugar, tobacco, energy and airports.

We also have ample experience in providing comprehensive assistance to foreign and local clients that wish to participate in bidding processes opened for the supply of products or services to government entities in different sectors such as construction and telecommunications.

Others

Pellerano & Herrera lawyers have counseled clients in the Dominican Republic in a wide variety of transactions in recent years, including the design of a major condominium, negotiation of the contract for an aqueduct, design of the securitization of credit card receivables, incorporation and contractual design of the first private pension fund manager in the country and contractual design of the local network of ATMs.
