Likewise, we have represented parties in the most significant banking, commercial and intellectual property litigations, among others. The following are some of our recent representative transactions
- Representing the lenders in a syndicated loan arranged by a local Bank for US$45MM
- Acted as local counsel to an international securities broker in connection with the exchange offer and subsequent reopening of the exchange offer of bonds, by the Dominican Government
- Local counsel to the lenders in the drafting and perfection of the Dominican Republic security package granted to guarantee the €95,000,000.00 loan granted by the lenders
- Representing an international group in the bidding and subsequent acquisition of a credit portfolio of US$100,000,000 approximately from the Central Bank of the Dominican Republic
- Advised a major gas and oil company in negotiations with the Dominican Government for a joint venture with the Country’s Oil Refinery
- Advisory and assistance to European government in pursuing fraudulent bankruptcy suspect over major assets located in Dominican Republic
- Represented a Brazilian Company in the executive embargo of one of their airplanes
- Acted as legal counsel for local pharmaceutical in the patent’s nullity for a component of a patent. Defense of the pharmaceutical against a correctional complaint filed by another pharmaceutical alleging patent violation
- Represented tobacco company in both trademark and copyright infringement in the Dominican Republic including several correctional complaints
- Represented Carmaker in a case of a lawsuit for damages regarding manufacturer’s liability
- Litigation in the Arbitral Court of the Santo Domingo Chamber of Commerce in defense of a local rum factory due to a contract execution
- Representation of Pharmaceutical in a constitutional remedy filed against a request of mandatory license of a patented substance
- Representation of a hotel facility and resorts group from Punta Cana in a land property litigation
- Filed the country's first action, on constitutional grounds, against several articles of the Tax Code involving the principles of “Solve et Repete” or the “Previous Payment” principle. The Supreme Court of Justice declared the unconstitutionality of the Solve et Repete
- Opposition actions against the registration of trademarks in the country. Assistance, advice and accomplishment of settlement agreement of a negotiated agreement
- Contract negotiation for the concession to the engineering plant responsible for the designing and building of the northwest duct of the country
- Advising client in the acquisition of the majority of the shares, of the major bottling company in Dominican Republic by the biggest one in Brazil, for US$80MM
- Counseling in the emission of bonds of US$104MM to an energy corporation
- Acquisition of a local meat and dairy processing plant, for over US$40MM
- Establishment of a Spanish Pension Fund Plan insurance company in the country
- Acted as legal counsel to international securities brokers and financing institutions in the issuance of Soverand Bonds for US$500MM and US$600MM
- Process and authorization of the largest local stock broker operating in the local stock exchange
- Assistance to a hotel facility in the bid auction process of an energy plant acquisition
- Assistance to a mining company in the authorization and installation process in the country for the exploitation and lease of a goldmine of US$30MM in gold reserve
- Assistance to a retail store on the sale of their assets in the Dominican Republic
- Start-up of the biggest condominium administrator of the country and merger and acquisition of three other companies with the same
- Acted as legal counsel in largest sale of the biggest producer of grain and wheat related products in the country
- Legal assistance in the complete installation of a new airline in the country
- Assistance to the developer in the acquisition of Real Estate Property for a tourist project
- Joint Venture of hotel and commercial facility for the instalation of a Plaza in Bávaro, por US$20MM
- Legal Counsel for Spanish Banking Institution in the project financing of a Hotel Facility in the country, for US$50MM
